Ascend International Advisory AI Terms of Service

1. Acceptance of Terms

By accessing or using the AI services (“Service”) provided by Ascend International Advisory, you agree to be bound by these Terms of Service (ToS). Continued use of the Service after any changes means you accept such changes.

2. Subscription and Payment

2.1 Automatic Renewals

By accessing or using the AI services (“Service”) provided by Ascend International Advisory, you agree to be bound by these Terms of Service (ToS). Continued use of the Service after any changes means you accept such changes.

2.2 Price Changes

We may change subscription fees with at least 30 days’ notice via email or within the Service. Continued use after notification means you accept the new pricing.

3. Cancellation Policy

3.1 How to Cancel

To cancel your subscription, email with:

  • Your full legal name

  • Account username/email

  • Subscription start date

  • Cancellation request date

3.2 Effective Cancellation

Cancellation must be completed at least 7 days before your next renewal to avoid being charged. After cancellation, access to the Service will end at the conclusion of your current billing cycle.

4. No Refunds

All payments are non-refundable, including for partial billing periods, except where required by UAE law.

5. Workflows and Data

5.1 Ownership

Custom workflows and configurations you create using the Service remain your property

5.2 Non-Transferability

Workflows, data, or account access cannot be transferred to third parties.

6. Liability and Disclaimers

6.1 Limitation of Liability

Ascend International Advisory’s liability is limited to 50% of the fees paid by you for the disputed billing cycle. We are not liable for indirect, incidental, or consequential damages.

6.2 Service “As Is”

The Service is provided without warranties of any kind, including uninterrupted, error-free, or secure service

7. Dispute Resolution and Arbitration

7.1 Mandatory Mediation

Any dispute arising from these ToS must first be submitted to mediation through the Dubai International Arbitration Centre (DIAC) within 30 days of the dispute arising. If not resolved, either party may proceed to arbitration.

7.2 Binding Arbitration

Any unresolved disputes will be resolved by final-offer arbitration (baseball arbitration):

  • Each party submits a monetary settlement proposal.

  • The arbitrator selects one proposal without modification.

  • Arbitration will be conducted in English and administered by DIAC under the latest DIAC Rules.

7.3 Arbitration Safeguards

  • Seat: Dubai, UAE (not DIFC).

  • Tribunal: A sole arbitrator will be appointed by DIAC unless the claim exceeds AED 5,000,000.

  • Costs: The prevailing party is entitled to recover 70% of their legal fees.

  • Fee Discount: If a customer initiates arbitration within 14 days of failing to resolve the dispute in mediation, they receive a 25% discount on their share of arbitration fees.

7.4 Claims Deadline

No claim may be brought more than 6 months after the date of the event giving rise to the claim.

7.5 Waiver of Rights

You waive any right to:

  • Bring class or collective actions.

  • Challenge arbitration awards in UAE onshore courts; enforcement is exclusively through DIAC.

8. Modifications to Terms

Ascend International Advisory may revise these ToS at any time. Material changes will be notified via email. Continued use of the Service after changes are posted means you accept the new terms.

9. Governing Law

These ToS are governed by the laws of the United Arab Emirates.
